These Terms & Conditions (“Terms”) govern access to and use of the Merceton platform and website.

By accessing or using Merceton, you agree to these Terms.
1. NATURE OF PLATFORM
1.1 Merceton is a technology platform that enables independent merchants to create online storefronts and sell products.
1.2 Merceton does not manufacture, stock, or directly sell products listed by merchants unless explicitly stated.
1.3 Each merchant is the seller of record for products listed on their storefront.
2. USER ELIGIBILITY
2.1 You must be at least 18 years of age to use the platform.
2.2 By using Merceton, you confirm that you are legally capable of entering into binding contracts under Indian law.
3. ACCOUNT REGISTRATION
3.1 Users may be required to create an account to access certain features.
3.2 You agree to provide accurate and complete information.
3.3 You are responsible for maintaining the confidentiality of your login credentials.
4. PRODUCTS & PRICING
4.1 All product listings, descriptions, and prices are determined by individual merchants.
4.2 Merceton does not guarantee:
- Product quality
- Accuracy of descriptions
- Availability of inventory
4.3 Prices are inclusive or exclusive of applicable taxes as determined by the merchant.
5. PAYMENTS
5.1 Payments are processed through integrated payment gateway providers including Cashfree.
5.2 Merceton does not store credit or debit card information.
5.3 By placing an order, you authorize the payment gateway to process the transaction.
6. SHIPPING & DELIVERY
6.1 Orders may be fulfilled:
- Directly by the merchant
OR - Through integrated logistics partners
6.2 Delivery timelines depend on:
- Merchant processing time
- Courier partner operations
- Destination location
6.3 Merceton does not guarantee delivery timelines.
7. RETURNS & REFUNDS
7.1 Return and refund policies are determined by individual merchants.
7.2 Refunds, once approved by the merchant, are processed through the payment gateway and may take 5–7 working days to reflect.
7.3 Payment gateway charges may not be refundable depending on provider policy.
8. USER CONDUCT
Users agree not to:
- Use the platform for unlawful purposes
- Engage in fraudulent transactions
- Attempt to hack or disrupt the platform
- Post misleading or defamatory content
Violation may result in suspension or legal action.
9. INTELLECTUAL PROPERTY
9.1 All platform technology, branding, and design elements are the property of Smarkitals Technologies India Private Limited.
9.2 Users may not copy, reproduce, or distribute platform content without written permission.
10. DISCLAIMER OF WARRANTIES
Merceton provides the platform on an “as is” and “as available” basis.
We do not guarantee:
- Continuous availability
- Error-free operation
- Merchant compliance
- Uninterrupted service
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
11.1 Merceton shall not be liable for:
- Product defects
- Delivery delays
- Merchant misconduct
- Indirect or consequential damages
11.2 Our total liability shall not exceed the amount paid for the specific transaction giving rise to the claim.
12. THIRD-PARTY SERVICES
Merceton integrates third-party services including:
- Payment gateways
- Logistics providers
- Cloud infrastructure providers
We are not responsible for the independent acts or omissions of such third parties.
13. SUSPENSION & TERMINATION
Merceton may suspend or terminate access if:
- These Terms are violated
- Fraud or abuse is suspected
- Required by law
14. PRIVACY
Use of the platform is also governed by our Privacy Policy available on the website.
15. FORCE MAJEURE
Merceton shall not be liable for failure to perform due to events beyond reasonable control including:
- Natural disasters
- Government actions
- Network outages
- Pandemics
16. MODIFICATIONS
Merceton reserves the right to update these Terms at any time.
Continued use of the platform after updates constitutes acceptance of revised Terms.
17. GOVERNING LAW & JURISDICTION
These Terms shall be governed by the laws of India.Courts located in Ghaziabad, Uttar Pradesh shall have exclusive jurisdiction.
